By accessing and using Rotayo’s website, mobile application, or any associated services (collectively referred to as the “Platform”), you are agreeing to comply with and be bound by the following Terms and Conditions (“Terms”). These Terms apply to all clients, visitors, users, and others who access or use the Platform.

Please read these Terms carefully. If you disagree with any part of these Terms, please do not use our Platform. Your access to and use of the Platform is conditioned upon your acceptance of and compliance with these Terms.

2. Definitions

“Platform“: Refers to the Rotayo website, mobile application, and any other associated services, features, or functionalities provided by Rotayo.

“User(s)“: Any individual or entity that accesses or uses the Platform. Users may include but are not limited to individuals seeking to network, host organizations, and other parties interested in the services provided by Rotayo.

“Account“: Refers to the registered user profile that allows access to the Platform and its features.

“Content“: Includes, but is not limited to, text, graphics, images, music, software, audio, video, and any other form of information capable of being stored in a computer that appears on or forms part of the Platform.

“Personal Data“: Any information that can be used to identify an individual, as further described in our Privacy Policy.

“Hosts“: Refers to organizations or entities that seek to connect with Users for various opportunities such as jobs, fellowships, and other forms of professional engagement.

“Rotators“: Refers to Users who are actively seeking opportunities through the Platform, including but not limited to jobs, fellowships, or networking connections.

“Services“: Refers to all services, features, and functionalities provided through the Platform.

“Subnetwork“: Refers to a subnetwork within the Platform (e.g. the European University Hospital Alliance subnetwork), where interactions and data visibility may be restricted to a specific group of Users.

“Third Parties“: Any companies, individuals, or entities other than Rotayo that are involved in providing the Services, including vendors and service providers.

“GDPR“: Refers to the General Data Protection Regulation, a regulation aimed at safeguarding personal data within the European Union.

“Terms“: Refers to these Terms and Conditions, including any future amendments or updates.

“We,” “Our,” “Us“: Refers to Rotayo and its subsidiaries, affiliates, officers, and employees.

3. Acceptance of Terms

By accessing or using the Rotayo Platform, you acknowledge that you have read, understood, and agree to be bound by these Terms and Conditions (“Terms“), including any future modifications, amendments, or updates to these Terms. If you do not agree with these Terms, please refrain from using the Platform.

Your use of the Platform also constitutes your acceptance of Rotayo’s Privacy Policy, which describes how we collect, use, and disclose your Personal Data. The Privacy Policy is hereby incorporated by reference into these Terms.

If you are accessing the Platform on behalf of an organization or entity, you represent and warrant that you are authorized to agree to these Terms on behalf of the organization or entity and bind them to these Terms (in which case, the references to “you” and “your” in these Terms, except for in this sentence, refer to that organization or entity). If you do not agree to these Terms, or if you do not have the authority to bind your organization or entity to these Terms, do not access or use the Platform.

4. Modifications to Terms

Rotayo reserves the right, at its sole discretion, to amend, modify, or replace these Terms at any time. If changes are made, we will make a reasonable effort to provide notice of any substantial modifications. Such notice may be provided through the Platform interface, via email, or through other reasonable means.

It is your responsibility to periodically review these Terms for changes. Your continued use of the Platform after any such changes constitutes your acceptance of the updated Terms. If you do not agree with any changes to these Terms, you must stop using the Platform immediately.

If you continue to use the Platform after the date the modified Terms are posted, you are indicating your acceptance of those modified Terms.

5. Account Registration and Termination

5.1 Account Registration

To fully utilize the services offered by Rotayo, you are required to create an account (“Account”) on our Platform. To create an account, you must provide current, accurate, and complete information as prompted by the registration process, including a valid email address. You are responsible for all activities that occur under your Account, and you agree to maintain the security and confidentiality of your username and password.

5.2 Account Termination by User

You may terminate your Account at any time by accessing your user dashboard on the Platform and following the account deletion process. Upon account deletion, we will make reasonable efforts to remove your personal data and discontinue your use of the service. However, some traces of your public activity, such as posts, reactions, or interactions with other users, may remain on the Platform.

5.3 Account Termination by Rotayo

Rotayo reserves the right to suspend or terminate your Account at our sole discretion, without notice, for conduct that we believe violates these Terms, is harmful to other users, Rotayo, third parties, or for other reasonable reasons including but not limited to inactivity, or non-payment.

5.4 Data Deletion

Once your Account is terminated, either by you or by Rotayo, we will make reasonable efforts to delete your personal data, in accordance with our Privacy Policy. However, please note that some traces of your activity might remain, specifically any posts, reactions, or interactions you had on the Platform.

5.5 Data Retention Post Termination

For the avoidance of doubt, after termination of your Account, Rotayo reserves the right to retain your data as necessary to comply with our legal obligations, resolve disputes, and enforce our agreements.

6. User Obligations and Conduct

6.1 Acceptable Use

By using the Rotayo Platform, you agree to abide by the following guidelines for acceptable use:

1. Respectful Interaction: Treat other users with respect and professionalism. Discrimination, harassment, or the use of offensive language is not permitted.
2. Truthful Information: Provide accurate and current information for your profile and in your interactions with others. Falsifying credentials, experiences, or associations is strictly prohibited.
3. Intellectual Property: Respect the intellectual property rights of others. Do not post, distribute, or reproduce any copyrighted material, trademarks, or other proprietary information without obtaining prior written consent from the owner.
4. Privacy: Respect the privacy of other users. Do not disclose personal information of others without their explicit consent.

6.2 Unacceptable Use

Unacceptable behaviors include, but are not limited to:

1. Spamming: Do not send or share unsolicited messages, advertising, or promotional material.
2. Exploitation: Do not use the Platform to exploit, harm, or attempt to exploit or harm other users in any way.
3. Illegal Activities: Do not engage in illegal activities, including but not limited to fraud, money laundering, and copyright infringement.
4. Impersonation: Do not impersonate other users, Rotayo employees, or other affiliated organizations or persons.
5. Hacking: Do not attempt to gain unauthorized access to the Platform, other users’ accounts, or any computer systems or networks connected to the Platform.
6. Data Mining: Do not employ automated means, including spiders, robots, bots, scrapers, or similar means to access, manage, or gather information from the Platform.
7. Violation of WHO Guidelines: Users involved in the international recruitment of health personnel must adhere to the principles set forth in the WHO Global Code of Practice on the International Recruitment of Health Personnel. Non-compliance with this standard is unacceptable.

6.3 Consequences of Unacceptable Use

Violations of these guidelines may result in immediate account suspension or termination without notice and may lead to legal actions.

6.4 Reporting Unacceptable Use

7. Data Privacy

Your privacy is of utmost importance to us. Rotayo collects, processes, and stores personal data in accordance with our Privacy Policy, which is an integral part of these Terms and Conditions. Rotayo takes reasonable steps to protect your personal data and ensure its confidentiality, integrity, and availability. The information we collect is primarily used to facilitate your use of the Platform, improve our services, and comply with applicable laws and regulations.

8. Intellectual Property Rights

The content and materials available on the Rotayo Platform, including but not limited to text, graphics, website name, code, images, and logos, are the intellectual property of Rotayo and are protected by applicable copyright and trademark law. Any inappropriate use, including but not limited to the reproduction, distribution, display, or transmission of any content on this site is strictly prohibited, unless specifically authorized by Rotayo.

User-Generated Content

When you post, upload, share, or otherwise make available any content on the Rotayo Platform, you grant us a non-exclusive, transferable, sub-licensable, royalty-free, worldwide license to use, display, reproduce, and distribute such content on and through the Platform, as well as in any media formats and through any media channels now known or hereafter developed. This includes the right to use your content for the purpose of improving our services, which may involve training our machine learning models. You retain any and all of your rights to any content you submit, post, or display on or through the Platform, and you are responsible for protecting those rights. By submitting content to the Rotayo Platform, you acknowledge that your content may be used to enhance machine learning models, and you consent to such usage.

Third-Party Content

Any content from third parties, including but not limited to articles, blog posts, and other materials shared or posted by users on the Platform, is the intellectual property of the respective third parties. Such content is not endorsed by or affiliated with Rotayo, and we assume no responsibility for such content. If you choose to use or share third-party content, it is your responsibility to comply with any applicable legal requirements, including obtaining any necessary permissions or licenses.

Limited Use

You are granted a non-exclusive, non-transferable, revocable license to access and use the Rotayo Platform strictly in accordance with these Terms and Conditions. No part of the Platform may be reproduced in any form or incorporated into any information retrieval system, electronic or mechanical, other than for your personal, noncommercial use (but not for resale or redistribution).

We reserve the right to terminate this license at any time if you violate any of the Terms and Conditions. Upon termination, you shall cease all use of the Platform and destroy all copies, full or partial, of any of its content.

9. Subnetworks (e.g., EUHA)

The Rotayo Platform offers the ability to create specialized subnetworks, like the one established for the European University Hospital Alliance (EUHA). These subnetworks operate under their own set of rules and conditions, which are set forth at the time of the subnetwork’s creation and agreed upon between Rotayo and the customer (e.g., EUHA).

Subscription Fee and Maintenance

The creation, maintenance, and exclusivity of such subnetworks are subject to the payment of an annual subscription fee by the customer. Failure to pay the subscription fee will result in the removal of the subnetwork’s exclusivity and could lead to a cessation of specialized maintenance services provided for that subnetwork.

Data Privacy and User Interactions within Subnetworks

Users within these subnetworks are still subject to Rotayo’s general Terms and Conditions and Privacy Policy. However, interactions within these specialized subnetworks may have additional layers of data protection or specific community guidelines, which will be clearly stated.

Termination of Subnetwork

In the event that the annual subscription fee is not paid in a timely manner, Rotayo reserves the right to discontinue the exclusivity and specialized maintenance of the subnetwork. Existing data and user interactions within the subnetwork may either be integrated into the main Rotayo Platform or be subject to deletion, as per the initial agreement between Rotayo and the customer.

Please note that the conditions for subnetworks are subject to change and may be updated periodically. All changes will be communicated clearly to the customer and the users within the subnetwork.

10. Payment and Subscription Terms

Free Access for Healthcare Workers

The general Rotayo Platform is free of charge for all healthcare workers, allowing them to interact, engage, and collaborate with other users at no cost.

Subnetwork Creation and Maintenance

The creation of specialized subnetworks, like the European University Hospital Alliance (EUHA), is available upon request by the customer. Pricing for these subnetworks is negotiated on a case-by-case basis. Factors influencing the cost include, but are not limited to, the size of the subnetwork, the anticipated number of users, and the projected level of activity within the group.

Enterprise Pricing

For large organizations or special use-cases that require a custom solution, we offer enterprise pricing options. These are individually negotiated to best fit the specific needs of the organization.

Payment Methods

We accept various forms of payment, which will be specified at the time of purchase. All transactions are secured and encrypted, and we strive to protect the security of your payment information during transmission by using Secure Sockets Layer (SSL) technology.

Renewals

Unless otherwise stated, subscriptions will automatically renew at the end of the subscription period. It is your responsibility to manage your subscription and to disable auto-renew if you no longer require the service.

Refunds

Refund policies for our services will be clearly stated at the time of purchase. Please review these carefully before making any payment.

Changes to Payment and Subscription Terms

Rotayo reserves the right to modify the pricing or the terms of these Payment and Subscription Terms at any time, subject to applicable law. You will be notified of any changes in a timely manner.

By using the Rotayo Platform and engaging in transactions, you agree to these Payment and Subscription Terms and understand that they may be updated from time to time.

11. Dispute Resolution

Governing Law and Jurisdiction

These Terms and Conditions, and any dispute arising out of or in connection with them, shall be governed by and construed in accordance with the laws of the jurisdiction of Antwerp, Belgium. By using the Rotayo Platform, you consent to the jurisdiction of Antwerp for any action or proceeding arising out of or relating to these Terms and Conditions.

User-to-User Disputes

Rotayo is not responsible for the actions, content, or behavior of any user, both on and off the Platform. While we encourage a respectful user experience, we are not responsible for the actions of any users. If a dispute arises between users, we have no obligation to become involved, but may do so at our discretion.

Negotiation

Before bringing a formal legal case, we ask that you try to resolve the dispute informally by contacting Rotayo customer support. Most disputes can be resolved this way.

Arbitration

If the dispute is not resolved through negotiation, the matter may proceed to binding arbitration, administered by a neutral, third-party arbitrator. Both parties agree to abide by the arbitrator’s decision, and the arbitration shall be conducted in one of the Belgian national languages or the English language. The costs of the arbitration, including the fees for the arbitrator, shall be shared equally between the parties, unless the arbitrator determines that the costs should be allocated differently.

Class Action Waiver

You agree that any arbitration or court proceeding shall be limited to the dispute between us and you, individually. You acknowledge and agree that you and Rotayo are each waiving the right to participate as a plaintiff or class member in any purported class action lawsuit, class-wide arbitration, or any other representative proceeding.

Exceptions

Notwithstanding the above, nothing in this section shall prevent either party from seeking injunctive or other equitable relief from the courts for matters related to intellectual property rights or unauthorized access to the Platform.

By using the Rotayo Platform, you agree to these Dispute Resolution terms and understand that they may be updated from time to time.

12. Limitation of Liability

To the fullest extent permitted by applicable law, Rotayo shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenues, whether incurred directly or indirectly, or any loss of data, use, goodwill, or other intangible losses, resulting from:

1. Your access to or use of, or inability to access or use, the Rotayo Platform;
2. Any unauthorized access to or use of our servers and/or any personal information stored therein;
3. Any interruption or cessation of transmission to or from the Rotayo Platform;
4. Any bugs, viruses, or other harmful code that may be transmitted to or through the Rotayo Platform;
5. Any errors, inaccuracies, or omissions in any content or information, for any loss or damage incurred as a result of the use of any content or information, in each case posted, emailed, stored, transmitted, or otherwise made available through the Rotayo Platform;
6. User-generated content or the defamatory, offensive, or illegal conduct of any third party.

In no event shall Rotayo’s total liability for all damages, losses, and causes of action exceed the amount paid by you to Rotayo, if any, for accessing or participating in any activity related to the use of the Rotayo Platform.

Nothing in these Terms and Conditions shall affect any statutory rights that you cannot contractually agree to waive or limit, nor shall it exclude or limit Rotayo’s liability for any death or personal injury caused by its negligence, for fraud or fraudulent misrepresentation, or any other liability that cannot be excluded or limited under applicable law.

By using the Rotayo Platform, you understand and agree that we offer the platform “as is” and “as available,” without any warranties of any kind, either express or implied. We explicitly disclaim all warranties, either express or implied, including but not limited to, implied warranties of merchantability, fitness for a particular purpose, and non-infringement. We make no guarantees of any specific results from the use of the Rotayo Platform.

13. Third-Party Services and Links

The Rotayo Platform may integrate with or provide links to other third-party services, platforms, or websites for your convenience. These third-party services may include, but are not limited to, Amazon Web Services (AWS) for data storage and OpenAI services for feedback and interpretation functionalities. Please note that we do not control these third-party services and are not responsible for their content, functionality, or legality.

Amazon Web Services (AWS): We utilize AWS services for data storage and other backend functionalities. For more information on AWS’s privacy and security measures, please refer to their official documentation.

OpenAI Services: We use OpenAI services to provide feedback and interpretation of users’ credentials, ensuring their validity and relevance. OpenAI operates under its own terms and privacy policy, which we advise you to consult.

By using these integrated services, you agree to their respective terms of service and privacy policies. We do not assume any responsibility for the content or practices of these third-party services, and their inclusion does not imply our endorsement or recommendation.

Your interactions with third-party services are solely between you and the third-party service provider. We shall not be responsible for any loss or damage of any sort incurred as a result of such interactions or the presence of third-party services on the Rotayo Platform.

We recommend that you review the terms and conditions and privacy policies of any third-party services of websites you visit or use. These will govern your relationship with those third-party services and are separate from these Terms and Conditions.

14. User-Generated Content

Content Ownership: 

Any and all text, images, videos, or other types of content that you post, upload, or otherwise contribute to the Rotayo Platform (“User-Generated Content”) are owned by you. However, by submitting User-Generated Content to the Rotayo Platform, you grant us a non-exclusive, transferable, sub-licensable, royalty-free, worldwide license to use, display, reproduce, and distribute such content on and through the Rotayo Platform, as well as in any media formats and through any media channels now known or hereafter developed.

Content Use for Language Models: 

Your User-Generated Content may be utilized to train large language models like those provided by OpenAI. This is done to improve the functionality, effectiveness, and user experience of our platform.

Your Responsibilities: 

You are solely responsible for your User-Generated Content, including its legality, accuracy, and appropriateness. You confirm that you have all the necessary rights to upload or share your User-Generated Content on the Rotayo Platform without infringing upon any third-party rights, including but not limited to copyrights and trademarks.

Content Moderation: 

We reserve the right to monitor, review, modify, or remove any User-Generated Content that violates these Terms and Conditions, poses a risk to the safety or well-being of other users, or is otherwise objectionable. However, we are under no obligation to oversee or moderate User-Generated Content and assume no responsibility for its content, nor do we endorse or validate user contributions.

Reporting: 

If you come across any content that you believe violates these Terms and Conditions, you have the right to report it through the tools provided on the Rotayo Platform or by contacting us directly. We will review the reported material and take appropriate actions in accordance with these Terms and Conditions.

User Interactions: 

You are solely responsible for your interactions with other users of the Rotayo Platform and any content that you post. We are not liable for any damage or harm resulting from your interactions with other users of the Platform or your posting of User-Generated Content.

Content Backup: 

While we endeavor to protect your User-Generated Content, we are not liable for any loss or damage to said content. We encourage you to keep backup copies of your User-Generated Content.

By using the Rotayo Platform, you acknowledge and agree to these terms concerning User-Generated Content. 

15. Governing Law

Jurisdiction: 

These Terms and Conditions and any disputes arising out of or in connection with your use of the Rotayo Platform shall be governed by and construed in accordance with the laws of Belgium, without giving effect to any principles of conflicts of law that would require the application of the laws of a different jurisdiction.

Legal Venue: 

For the purpose of resolving any disputes or claims related to these Terms and Conditions, both parties consent to the exclusive jurisdiction and venue of the courts located in Antwerp, Belgium.

Local Laws: 

It is your responsibility to comply with all local laws and regulations when using the Rotayo Platform. You must ensure that accessing the Rotayo Platform is not illegal or prohibited in your jurisdiction.

By using the Rotayo Platform, you acknowledge that you have read, understood, and agreed to be bound by the laws of Belgium and submit to the exclusive jurisdiction of the courts in Antwerp, Belgium for the resolution of any disputes.
